Our partnership team successfully negotiated the buy-out of a partner in our client’s large landscaping business. Ultimately, the transaction worked well by adopting an ESOP for the company and having the selling owner’s shares sold to the ESOP.
The ESOP couldn’t buy out the interest for cash, and thus a secured installment purchase plan was structured and the transaction concluded. At last word, our client is doing well and now understands the advantages of having a buy-sell agreement in place for the eventualities we all know exist but often put off until it’s too late.
