Business Solicitations Appearing to be from the California Secretary of State

   The California Corporations Code requires corporations that are incorporated or qualified to do business in the State of California to submit a document titled the "Annual Statement of Information."  This form is filed with a fee. The Annual Statement of Information discloses information about the corporation including the names and addresses of the directors and officers of the corporation. 

    Many companies have been receiving forms that appear to be the mandatory disclosure forms sent out by the California Secretary of State.  These documents are actually business solicitations.  The forms have used various titles and require a fee to be included to the soliciting business. 

    The California Department of Justice recently filed suit against four soliciting companies using this tactic and would like to be made aware of any further solicitations. If your corporation has already filled out and sent a check to one of these companies, the California Department of Justice asks that you file a complaint form with their office.  If you are unsure whether the form you have received is a business solicitation or a genuine communication from the California Secretary of State, seek legal advice before filing.
